📋 General Terms

1. Acceptance of Terms

By accessing or using R Cinemas services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Service Description

R Cinemas provides:

  • Virtual and physical cinema ticket booking
  • Live event streaming and ticketing
  • Film festival submissions and screenings
  • Franchise opportunities
  • Restaurant and delivery partner platforms
  • Content distribution services

3. Eligibility

You must be at least 13 years old to use our services. Users under 18 require parental consent for purchases. Certain services (franchise, partnerships) require users to be 18+ and legally able to enter contracts.

4. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of services after changes constitutes acceptance of modified terms.

5. Geographic Restrictions

Services may not be available in all countries. Content availability varies by region due to licensing restrictions. Physical cinema locations are subject to local availability.

👤 User Accounts & Responsibilities

1. Account Creation

You must provide accurate, current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Account Security

Notify us immediately of any unauthorized access. We are not liable for losses resulting from unauthorized use of your account. Do not share your login credentials with others.

3. Prohibited Conduct

Users must not:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful code or malware
  • Attempt to gain unauthorized access to systems
  • Harass, abuse, or harm other users
  • Use bots or automated systems without permission
  • Resell tickets or services without authorization
  • Share account access with multiple users

4. Account Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or for any reason at our discretion. You may close your account at any time through account settings.

🎫 Cinema Tickets & Bookings

1. Ticket Purchase

All ticket sales are final unless otherwise stated. Prices are subject to change without notice. Tickets are non-transferable except where permitted by law.

2. Cancellation & Refunds

Refund Policy: All refunds are issued as account credits, not cash refunds. Account credits can be used for any future cinema bookings on our platform.

  • Cinema Tickets: Cancellations accepted up to 2 hours before showtime for full refund as account credits. No refunds for cancellations within 2 hours of showtime.
  • Virtual Cinema: Refunds as account credits available up to 30 minutes before scheduled start time.
  • Special Events: Refund policy varies by event. Check event details before purchase. Approved refunds issued as account credits.
  • Technical Issues: Full refund as account credits if streaming fails due to our technical issues.

3. Admission Requirements

Valid ticket and photo ID required for admission. Age restrictions apply to certain films. Cinema reserves the right to refuse admission for disruptive behavior, intoxication, or violation of cinema policies.

4. Food & Beverage Orders

Food orders are subject to restaurant partner terms. Orders must be placed at least 30 minutes before showtime. Refunds for food orders are issued as account credits following restaurant partner policies. Allergies and dietary restrictions are customer's responsibility to communicate.

5. Seat Selection

Seat assignments are guaranteed where applicable. Cinema may reassign seats for operational reasons with notice. Wheelchair accessible seating available upon request.

6. Virtual Cinema Streaming

One ticket = one simultaneous stream. Streaming quality depends on your internet connection. Content is protected by DRM and cannot be recorded or redistributed. Access expires after viewing period ends.

🎪 Events & Live Streaming

1. Event Ticket Holders

Event tickets grant access to specified event only. Tickets are non-transferable unless stated otherwise. Refund policy varies by event organizer. Approved refunds are issued as account credits. Technical issues on user's end do not qualify for refunds.

2. Event Organizers

Revenue Share: Organizers receive 70% of ticket revenue after payment processing fees. Payouts occur within 7 days after event completion.

Content Requirements: Organizers must own or have rights to all content streamed. Content must comply with applicable laws and our content policies.

Cancellation: Organizers may cancel events with 48 hours notice. Automatic refunds as account credits issued to ticket holders. Repeated cancellations may result in account suspension.

Quality Standards: Events must meet minimum technical quality standards. We reserve the right to cancel events that don't meet standards.

3. Event Submissions

All event submissions subject to approval. We reserve the right to reject events for any reason. Approval typically within 24-48 hours. Events must comply with local laws and regulations.

4. Replay Access

Replay availability determined by event organizer. Replay access typically 24-48 hours after live event. Organizers may disable replay at any time.

🎬 Film Festival Terms

1. Festival Submissions

Eligibility: Films must be completed within last 2 years. All genres and lengths accepted. Submitter must own or have distribution rights.

Submission Fee: Non-refundable submission fee applies. Fee covers review, encoding, and festival consideration.

Rights: By submitting, you grant R Cinemas non-exclusive right to screen your film during festival and promotional materials. You retain all ownership rights.

2. Selection Process

Selection decisions are final and not subject to appeal. Not all submissions will be selected. Selected films notified 2 weeks before festival. Rejection does not imply quality judgment.

3. Festival Screening

Selected films screened during festival period. Screening schedule determined by festival organizers. Films must remain exclusive to festival during screening period (no other online distribution).

4. Voting & Awards

Audience voting open to ticket holders only. One vote per ticket. Voting closes 24 hours after final screening. Winners determined by audience votes (70%) and jury (30%). Award decisions are final.

5. Prize Distribution

Cash prizes paid within 30 days of festival conclusion. Winners must provide tax information. Distribution deals offered to winners are optional. Winners grant permission to use film title and images in promotional materials.

6. Film Distribution (Non-Festival)

Revenue Share: Filmmakers receive 70% of ticket/streaming revenue. Payouts weekly via Stripe.

Content Requirements: Films must meet quality standards (1080p minimum). All content must be legally cleared. Filmmakers responsible for music rights, actor releases, etc.

Distribution Period: Initial 6-month term, renewable. Either party may terminate with 30 days notice. Films removed within 48 hours of termination notice.

Exclusivity: Non-exclusive distribution unless otherwise agreed. Filmmakers may distribute through other platforms simultaneously.

7. Festival Ticket Holders

Festival passes grant access to all festival screenings during festival period. Voting rights included with ticket purchase. No refunds after festival begins. Any approved refunds before festival start are issued as account credits. Technical issues on user's end do not qualify for refunds.

🏢 Franchise Terms

1. Franchise Application

Applications subject to approval. We reserve the right to reject applications for any reason. Application fee non-refundable. Approval process may take 4-8 weeks.

2. Franchise Agreement

Separate Franchise Disclosure Document (FDD) and Franchise Agreement govern franchise relationship. These terms are supplementary. Franchise Agreement supersedes these terms in case of conflict.

3. Financial Obligations

  • Initial Franchise Fee: $50,000-$150,000 (non-refundable)
  • Total Investment: $300,000-$800,000 including build-out
  • Ongoing Royalty: 5% of gross revenue
  • Marketing Fund: 2% of gross revenue
  • Technology Fee: Included in royalty

4. Territory Rights

Franchisees granted exclusive territory rights as defined in Franchise Agreement. Territory protected from other R Cinemas franchises. Virtual cinema operations not restricted by territory.

5. Training & Support

Initial training provided at no additional cost. Ongoing support included in royalty fees. Additional training available at franchisee's expense. Franchisees must attend mandatory training sessions.

6. Brand Standards

Franchisees must maintain brand standards as specified in operations manual. Regular inspections may be conducted. Failure to maintain standards may result in termination. All marketing materials require approval.

7. Term & Termination

Initial term: 10 years, renewable. Either party may terminate for cause with notice. Franchisee may sell franchise with our approval. Non-compete clause applies for 2 years after termination.

🤝 Restaurant & Delivery Partner Terms

1. Restaurant Partners

Commission: 15% of order value. No monthly fees or setup costs.

Payouts: Weekly via Stripe. Minimum payout $50.

Menu Management: Partners responsible for accurate menu information, pricing, and availability. Must update unavailable items promptly.

Food Safety: Partners must comply with all local health and safety regulations. Partners liable for food quality and safety issues.

Order Fulfillment: Orders must be prepared within specified time. Repeated delays may result in suspension. Partners may reject orders but must provide reason.

Quality Standards: Food must meet quality standards. Customer complaints investigated. Repeated quality issues may result in termination.

2. Delivery Partners

Compensation: Base pay per delivery + distance + 100% tips. Rates vary by location and time.

Requirements: Valid license, insurance, reliable vehicle, smartphone, clean background check.

Independent Contractor: Drivers are independent contractors, not employees. Responsible for own taxes, insurance, and expenses.

Service Standards: Must maintain professional conduct, timely deliveries, and customer service standards. Rating system applies. Low ratings may result in deactivation.

Safety: Must follow all traffic laws. No driving under influence. Must use insulated bags for food delivery.

Deactivation: We reserve right to deactivate drivers for policy violations, safety concerns, or low ratings.

3. Partner Responsibilities

All partners must:

  • Maintain required licenses and permits
  • Carry appropriate insurance
  • Comply with all applicable laws
  • Maintain accurate account information
  • Respond to customer issues promptly
  • Maintain quality and service standards

📹 Content & Intellectual Property

1. User Content

Users retain ownership of content they submit. By submitting content, you grant R Cinemas a non-exclusive, worldwide license to use, display, and distribute the content for platform purposes.

2. Content Standards

All content must comply with applicable laws. Prohibited content includes: illegal material, hate speech, harassment, explicit sexual content (unless age-restricted), violence, copyright infringement, and misleading information.

3. Copyright & DMCA

We respect intellectual property rights. Copyright infringement reports should be sent to legal@rcinemas.com with: description of copyrighted work, location of infringing content, your contact information, and good faith statement.

4. Platform Content

All R Cinemas branding, logos, and platform content are our property. Users may not use our intellectual property without written permission. Screenshots and recordings of streamed content are prohibited.

5. Content Removal

We reserve the right to remove any content that violates these terms, infringes rights, or is otherwise objectionable. Content creators will be notified of removal when possible.

⚖️ Additional Legal Terms

1. Limitation of Liability

R Cinemas not liable for indirect, incidental, special, or consequential damages. Maximum liability limited to amount paid by user in past 12 months. Some jurisdictions don't allow liability limitations; these may not apply to you.

2. Warranty Disclaimer

Services provided "as is" without warranties of any kind. We don't guarantee uninterrupted or error-free service. We don't warrant that content is accurate or reliable.

3. Indemnification

You agree to indemnify R Cinemas from claims arising from your use of services, violation of terms, or infringement of rights. This includes legal fees and costs.

4. Dispute Resolution

Disputes resolved through binding arbitration in Sydney, Australia. Class action waiver applies. Small claims court option available. Arbitration costs shared equally unless otherwise required by law.

5. Governing Law

These terms governed by laws of New South Wales, Australia. Jurisdiction in Sydney courts for non-arbitrated matters.

6. Severability

If any provision deemed invalid, remaining provisions remain in effect. Invalid provisions modified to be enforceable while achieving original intent.

7. Force Majeure

Not liable for delays or failures due to circumstances beyond reasonable control: natural disasters, war, strikes, government actions, pandemics, or technical failures.

8. Privacy

Use of services subject to our Privacy Policy. By using services, you consent to data collection and use as described in Privacy Policy.
